EULA - End User License Agreement

Acceptance of Agreement
You agree to the terms and conditions outlined in this Terms of Use Agreement ("Agreement") with respect to our AMG Employee Management Inc., AMG Employee Management Software, AMGSystem.com website and the products, systems and services herein referred to as ("AMG Time").
This Agreement constitutes the entire and only agreement between us and you, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to AMG Time, the content, products or services provided by or through AMG Time, and the subject matter of this Agreement. This Agreement may be amended at any time by us from time to time without specific notice to you. The latest agreement will be posted on AMG Time, and you should review this agreement prior to using AMG Time.
Intellectual Property; Limited License to Users
The materials and services on AMG Time, as well as their selection and arrangement, are protected by copyright, trademark, patent, and/or other intellectual property laws, and any unauthorized use of the materials or services at AMG Time may violate such laws and the Terms of Use. You agree not to copy, republish, frame, download, transmit, modify, rent, lease, loan, sell, assign, distribute, license, sublicense, reverse engineer, or create derivative works based on AMG Time, its materials, or its services or their selection and arrangement, except as expressly authorized herein. In addition, you agree not to use any data mining, robots, or similar data gathering and extraction methods in connection with AMG Time.
Copyright
The content, organization, graphics, design, audio, animation, video, compilation, magnetic translation, digital conversion and other matters related to AMG Time are protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights. The copying, redistribution, use or publication by anyone of any such matters or any part of AMG Time, is strictly prohibited. No one acquires ownership rights to any content, document or other materials viewed through AMG Time. The posting of information or materials on AMG Time does not constitute a waiver of any right in such information and materials.
Links to other Web Sites
AMG Time may contain links to other web sites. We are not responsible for the content, accuracy or opinions express in such web sites, and such web sites are not investigated, monitored or checked for accuracy or completeness by us. Inclusion of any linked web site on our AMG Time does not imply approval or endorsement of the linked web site by us. If you decide to leave our AMGSystem.com and access these third-party sites, you do so at your own risk.
Limited Right to Use
The viewing, printing or downloading of any content, graphic, form or document from AMG Time grants you only a limited, nonexclusive license for use solely by you for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works or other use. No part of any content, form or document may be reproduced in any form or incorporated into any information retrieval system, electronic or mechanical, other than for your personal use (but not for resale or redistribution). The rights granted to you constitute a license and not a transfer of title.
Editing, Deleting and Modification
We reserve the right in our sole discretion to edit or delete any documents, information or other content appearing on AMG Time.
Use of Software
The software and accompanying documentation that is made available from AMG Time, partners, affiliates, promoters, resellers, distributors, and any authorized parties is the sole work of AMG Employee Management Inc. Use of the software is governed by the terms of the license agreement that accompanies or is included with such software. Such terms are available for review and are incorporated herein by this reference. By registering the AMG Employee Attendance Software, you are acknowledging that you have read, understood and agree to be bound to the Terms of Use. Absent a license agreement that accompanies the software, use of the software will be governed by the Terms of Use. You agree that you will not decompile, reverse engineer, or otherwise attempt to discover the source code of the AMG Time.
